I believe they bid on a contract, estimating what they think it will cost them to make and how long, along with what they think they should be paid to cover those costs and make a profit. It will also depend on what other contracts they already have in place and the timing, not just for the animators, but the director and other major job positions.
If MAPPA started with a contract that only covered the first two seasons, then they'd have to bid again according to their schedule and projected costs. Maybe they don't have time to get the third season out when the agents want it to air. Maybe they asked for too much money. Maybe the director doesn't want to handle S3, for some personal reason.

The staff wants to make a season 3 it's their passion project, they've just been too busy but it'll happen eventually. Basically what happened is that Wit studio dropped VS after season 1, but the staff still wanted to continue it, so Shuhei Yabuta (the director) reached out to a bunch of studios and since him and MAPPA go way back (he directed Inuyashiki at MAPPA in 2017) they replied that they'd be interested and according to Yabuta it was important to him to keep the original staff from season 1, so MAPPA just said fuck it and basically offered a full time position at the studio for most of the staff, so Yabuta, Hiroya Hasegawa (the animation producer) and Akiko Kudo (the main animator) became employees, and a year later Hasegawa became the Vice President of MAPPA and Yabuta a board member.
Before Hasegawa got appointed a VP at MAPPA he used to work at studio Kafka, which is a subsidiary of Twin Engine (the company who owns the rights to VS anime), and one of their board members Kousuke Hosokai also became a board member of MAPPA when this happened, so the connection is there and they'll most likely adapt the series to completion it'll just take some time.
As you can probably imagine now being higher-ups at the studio and them basically taking those positions as the studio was imploding from all the mismanagement, an insane amount of projects they had at the time and JJK s2 controversy, they had to focus on internal problems within the studio first and foremost while also helping on some of the other projects before they can hop back on VS.
I'd imagine season 3 is gonna come out 2028 or maybe even 2029. I wouldn't count on it coming out before that unless they already started working on it which I doubt.

It's no different than any other business negotiation

These decisions are made by the production committee, not the studio. If Kodansha wants to shell out the money to fund a third season, then it will happen. If not, then it won't.

Depends on who the rights holder for Vinland Saga is. If Mappa doesn't own it, they don't actually have any say in whether more of it gets produced.

You've got it reversed. Studios don't typically choose what show to work on. A production committee commissions a studio to work on a work, and a studio can agree to the deal or reject it. If a new season of a show is not being made, then either the production committee doesn't think they'll get enough of a reward for making it, or the members of the committee aren't able to reform yet due to being booked on other projects and maybe they'll come back together to commission more of the series later. Fwiw, I don't think Vinland Saga's anime was particularly profitable.
